These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and ScaleRight LLC ("ScaleRight," "we," "us," or "our").

By accessing or using our website at wescaleright.com, submitting any form or enquiry, or engaging us for any services, you confirm that:

⚫ If acting on behalf of a business, you have the authority to bind that business to these Terms

⚫ You agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference

3. Description of Services

ScaleRight LLC provides the following services to business clients:

⚫ Paid Advertising Management: Strategy, setup, and ongoing management of advertising campaigns on Meta (Facebook and Instagram), Google, and other platforms

⚫ Lead Generation Systems: Design and implementation of multi-step lead generation funnels, qualification systems, and lead capture processes

⚫ Funnel and Landing Page Building: Design and development of landing pages, thank you pages, and complete funnel systems using GoHighLevel and related tools

⚫ CRM Setup and Automation: Configuration of GoHighLevel CRM, pipelines, automation workflows, email sequences, and SMS systems

⚫ Creative Services: Development of ad creatives, copy, and creative strategy for paid advertising campaigns

⚫ Conversion Rate Optimisation (CRO): Analysis of funnel performance and implementation of improvements to increase conversion rates

⚫ Strategy and Consulting: Marketing strategy, account audits, and performance reporting

Specific deliverables, timelines, scope of work, and pricing for any client engagement are governed by a separate Service Agreement or Statement of Work. These Terms apply in addition to and do not replace any such agreement.

4. SMS Communications Terms

By providing your phone number and submitting a form on our website or any landing page we operate where SMS consent language is displayed, you expressly consent to receive recurring informational and promotional text messages from ScaleRight LLC.

This SMS program is designed to ensure optimal customer support and to respond to service-related inquiries in a timely manner.

These messages may include:

⚫ Follow-up communications about our services

⚫ Appointment reminders

⚫ Consultation confirmations

⚫ Marketing updates and other business communications

Message Frequency: Message and data rates may apply. Message frequency varies based on your interactions with our service.

Opt-Out: You can cancel the SMS service at any time. Just text STOP to +18143008369. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed.

No Lead Lists: ScaleRight LLC does not purchase, rent, or use third-party lead lists or affiliate lead data for SMS marketing. All recipients have opted in directly through our own approved opt-in processes.

5. Website Use & Conduct

You agree to use our website only for lawful purposes. You agree not to:

⚫ Transmit unsolicited advertising, promotional material, or spam

⚫ Attempt to gain unauthorised access to any part of the site or its servers

⚫ Use automated tools, bots, or scrapers to extract content without our express written consent

⚫ Submit false, misleading, or fraudulent information through any form on the site

⚫ Introduce viruses, trojans, or other malicious material to the site

⚫ Impersonate any person or entity

We reserve the right to terminate or restrict your access to the site at our sole discretion for any breach of these Terms.

6. Lead Forms & Enquiries

By submitting a form on our website or any landing page we operate, you acknowledge and agree that:

⚫ You consent to being contacted by ScaleRight via the contact information you provide, including by email, telephone, SMS, and WhatsApp

⚫ Submitting a form does not create a client relationship, obligation, or guarantee of services

⚫ Your information will be processed in accordance with our Privacy Policy

⚫ You may receive automated email and SMS follow-up messages as part of our lead nurture process. You may opt out at any time by replying

STOP to any SMS or clicking the unsubscribe link in any email

⚫ Qualification questions are used to assess service fit only and do not constitute an offer or agreement

⚫ ScaleRight uses tracking technologies including the Meta Pixel and UTM parameters to attribute your enquiry to the source that brought you to our page

7. Client Services & Engagement

Client Responsibilities:

Clients are responsible for:

⚫ Providing accurate and complete information required for service delivery including brand assets, business information, access credentials, and approvals in a timely manner

⚫ Granting ScaleRight necessary access to Meta Business Manager, ad accounts, CRM systems, and other platforms required for the scope of work

⚫ Ensuring all products, services, and claims in advertising materials comply with Meta's Advertising Policies, Google's advertising policies, and all applicable laws

⚫ Reviewing and approving deliverables within agreed timeframes. Delays caused by late client approvals may affect launch timelines without fault to ScaleRight

⚫ Maintaining timely communication with a response time within 48 business hours

ScaleRight Responsibilities:

ScaleRight will:

⚫ Deliver services as described in the signed Service Agreement

⚫ Communicate proactively about campaign performance, optimisations, and any issues

⚫ Apply best-practice methodologies to maximise results within the agreed scope and budget

⚫ Maintain confidentiality of client information

⚫ Provide regular performance updates and reports as agreed

Launch Timelines:

ScaleRight targets a 7 to 10 business day onboarding and launch timeline from contract execution, subject to timely receipt of all required client assets, access, and approvals. Delays on the client side will extend launch timelines accordingly.

8. Fees, Payment & Refunds

Fees: Service fees are as specified in the signed Service Agreement. All fees are quoted in US Dollars unless otherwise stated.

Payment Terms:

⚫ Fees are due as outlined in the Service Agreement, typically monthly in advance

⚫ Invoices are due within the number of days stated on the invoice, typically net 7 or net 14

⚫ Late payments may result in suspension of services until payment is received

⚫ ScaleRight reserves the right to charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law

Ad Spend: Advertising spend paid to Meta, Google, or other ad platforms is separate from and in addition to ScaleRight's management fees. Ad spend is paid directly by the client to the relevant platform. ScaleRight is not responsible for ad spend charges incurred during the service period.

Refund Policy:

⚫ Setup and onboarding fees are non-refundable once work has commenced

⚫ Monthly management fees are non-refundable for services already rendered in the current billing period

⚫ If ScaleRight fails to deliver agreed services due to our own default, we will work in good faith to remedy the situation or provide a proportionate credit

⚫ ScaleRight does not control third-party advertising platforms. Refunds for ad spend charged by these platforms are governed by their own policies and are outside ScaleRight's control

9. Ad Spend & Platform Policies

All advertising campaigns are subject to the terms, policies, and guidelines of the relevant advertising platforms including Meta's Advertising Policies and Google's Advertising Policies. ScaleRight will not knowingly create or run ads that violate platform policies, but final approval authority rests with the platform.

ScaleRight is not liable for:

⚫ Account disabling or restrictions imposed by Meta, Google, or any other platform

⚫ Loss of ad spend resulting from account restrictions or bans

⚫ Delays in campaign delivery caused by platform-side issues, algorithm changes, or policy enforcement actions

If a client's ad account has pre-existing policy violations or restrictions, ScaleRight will disclose this upon audit but cannot be held responsible for issues that existed prior to the engagement.

By authorising ScaleRight to manage advertising on Meta platforms on your behalf, you confirm that you have read and agree to Meta's Advertising Policies and Meta's Terms of Service. You remain the responsible advertiser of record for your ad account.

10. No Purchase or Sale of Leads

ScaleRight LLC does not purchase, sell, rent, or trade consumer lead lists or contact information. We do not operate or participate in affiliate lead programs or lead reselling arrangements. All leads and contacts in our systems are generated through our own first-party opt-in processes. Any reference to "lead generation" in our marketing materials refers exclusively to the process of attracting and capturing enquiries from interested prospects through our own owned channels and advertising campaigns.

11. Intellectual Property

All content on our website and all proprietary systems, templates, frameworks, SOPs, processes, and methodologies developed by ScaleRight are the exclusive property of ScaleRight LLC. You may not copy, reproduce, modify, or distribute any ScaleRight intellectual property without our prior written consent.

All content, assets, and brand materials provided by a client remain the exclusive property of the client. By providing such materials, the client grants ScaleRight a non-exclusive licence to use them solely for the purpose of delivering the agreed services.

Upon receipt of all fees owed:

⚫ Ad creatives, copy, and campaign assets created specifically for a client's campaigns are owned by the client

⚫ Underlying templates, frameworks, funnel structures, workflow logic, and proprietary systems remain the property of ScaleRight

⚫ GoHighLevel snapshots, funnel clones, and workflow templates are licensed to the client for use during the active service engagement and may be revoked upon termination

ScaleRight reserves the right to use anonymised or with-permission campaign data, metrics, and results for case studies and marketing purposes, unless the client has requested otherwise in writing.

12. Confidentiality

Both parties agree to:

⚫ Keep all confidential information strictly confidential

⚫ Not disclose it to any third party without prior written consent

⚫ Use it only for the purpose of performing obligations under the service agreement

This obligation survives termination of the service agreement for a period of two years.

Confidentiality obligations do not apply to information that becomes publicly known through no breach of this agreement, was independently developed, or is required to be disclosed by law or court order.

13. Results Disclaimer

ScaleRight provides digital marketing services on a best-efforts basis. We do not guarantee specific results, revenue outcomes, lead volumes, cost per lead figures, return on ad spend, or any other performance metrics.

The performance of advertising campaigns depends on numerous factors outside ScaleRight's control, including:

⚫ The quality and competitiveness of the client's offer

⚫ Market conditions, seasonality, and competitive landscape

⚫ The client's sales process and speed of lead follow-up

⚫ Meta and Google algorithm changes and platform policies

⚫ The client's ad budget and its adequacy for the target market

⚫ Economic conditions and consumer behaviour in the client's industry

Any performance estimates, projections, case studies, or results mentioned on our website or in our marketing materials are illustrative of what has been achieved for specific clients in specific circumstances. Past results are not a guarantee of future performance. Individual results will vary.

14. Limitation of Liability

⚫ ScaleRight LLC's total liability to any client for any claim shall not exceed the total fees paid by that client to ScaleRight in the three months immediately preceding the claim

⚫ ScaleRight shall not be liable for any indirect, incidental, special, consequential, or punitive damages including loss of profits, loss of revenue, loss of business, or loss of data

⚫ ScaleRight is not liable for damages arising from ad platform bans or restrictions, algorithm changes, third-party service outages, delays caused by client inaction, or force majeure events

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless ScaleRight LLC and its members, managers, employees, and agents from any claims, liabilities, damages, costs, and expenses arising out of or in connection with:

⚫ Your use of our website or services in violation of these Terms

⚫ Your provision of false, misleading, or infringing materials to ScaleRight

⚫ Your violation of any applicable law or third-party rights

⚫ Your violation of Meta's, Google's, or any other advertising platform's policies

⚫ Any claim by a third party arising from your business, products, or services being advertised

16. Termination

Either party may terminate a service engagement by providing written notice as specified in the signed Service Agreement, typically 30 days' written notice.

ScaleRight may terminate services immediately if:

⚫ The client fails to pay fees when due and does not remedy the failure within 5 business days of written notice

⚫ The client engages in fraudulent or illegal conduct

⚫ The client requests that ScaleRight create advertising that violates platform policies or applicable law

⚫ The client materially breaches these Terms and fails to cure such breach within 10 business days of written notice

Upon termination:

⚫ ScaleRight will cease all services and ad management

⚫ All outstanding invoices become immediately due

⚫ Each party will return or delete the other's confidential information

⚫ ScaleRight will provide reasonable transition assistance subject to payment of outstanding fees

Sections relating to intellectual property, confidentiality, disclaimer, liability, and dispute resolution survive termination.

17. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Wyoming, United States.

⚫ Informal Resolution: Before initiating any formal dispute process, the parties agree to attempt resolution through good-faith negotiation for at least 30 days

⚫ Binding Arbitration: If a dispute cannot be resolved informally, both parties agree to resolve it through binding arbitration conducted in Sheridan County, Wyoming, USA

⚫ Class Action Waiver: All dispute resolution will be conducted on an individual basis only. You waive the right to participate in any class action against ScaleRight

18. Changes to These Terms

ScaleRight reserves the right to modify these Terms at any time. We will update the Last Updated date at the top of this page and notify active clients of material changes via email or WhatsApp. Your continued use of our website or services after updated Terms are posted constitutes your acceptance of the revised Terms.
